1. General

These general terms and conditions apply to all offers, quotations, and agreements between FlowCore and the client.

FlowCore is located at Rue de la Croix Rouge 1, 7740 Pecq, Belgium, VAT number BE 0827.695.456.

"Client" refers to any natural person or legal entity that enters into an agreement with FlowCore.

These general terms and conditions apply exclusively to professional clients (B2B) and not to consumers in the sense of the Economic Law Code.

2. Quotes and prices

  • All quotes are non-binding and valid for 30 days, unless otherwise stated.
  • All prices quoted are exclusive of VAT.
  • Additional work or changes outside the original quote will be invoiced separately after prior approval.

3. Payment terms

  • 50% deposit at the start of the project.
  • 50% balance upon delivery and before going live.
  • Invoices are payable within 14 days of the invoice date.
  • In case of late payment, FlowCore reserves the right to suspend the work.
  • In case of non-payment, statutory interest and any collection costs may be charged.

4. Execution and delivery

Specified delivery times are indicative and depend on the timely provision of content and materials by the client.

Delays in delivery may result in postponement of the delivery without FlowCore being held liable for this.

5. Intellectual property

  • Upon full payment, the client obtains the right to use the delivered end product.
  • FlowCore retains the copyright on source code, structures, and underlying systems, unless expressly agreed otherwise.
  • FlowCore reserves the right to mention completed projects in its portfolio and references.

6. Liability

FlowCore cannot be held liable for indirect damage, consequential damage, loss of data, or lost profits.

FlowCore's total liability is in all cases limited to the invoice amount of the relevant assignment.

7. Maintenance and hosting

  • Maintenance and hosting contracts are concluded for the agreed period.
  • For annual contracts, a tacit renewal applies for one year at a time.
  • Termination must be done in writing no later than one month before the end of the current contract period.

8. Force majeure

In the event of force majeure (such as illness, technical failures, network issues, or external circumstances) FlowCore's obligations are suspended for the duration of the force majeure.

9. Applicable law and competent court

Belgian law applies to all agreements between FlowCore and the client. Disputes fall under the jurisdiction of the courts of the district where FlowCore is located.
